TERMS & CONDITIONS

These Terms and Conditions govern the provision of services by Barn the Marketing Mechanic to its clients. Please read these terms carefully before engaging our services.

1. The Parties

In these Terms and Conditions, "The Company" (also referred to as "we", "us", or "our") refers to MODERN CLASSIC DIGITAL LTD, a company registered in England and Wales (Company Registration Number: 14399321), whose registered office is at 4 New Inn Lane, Guildford, England, GU4 7HW, trading under the name 'Barn the Marketing Mechanic'. All contracts, agreements, and deliverables provided under the 'Barn the Marketing Mechanic' brand are legally executed by and with MODERN CLASSIC DIGITAL LTD. "The Client" (also referred to as "you" or "your") refers to the individual or entity engaging our services.

2. Scope of Services

We agree to provide the marketing services as detailed in the agreed proposal, quote, or statement of work provided to you. Any additional work outside the original scope will be quoted and billed separately.

3. Invoicing and Payments

All invoices for services provided by 'Barn the Marketing Mechanic' will be issued by MODERN CLASSIC DIGITAL LTD.

Payment Terms: Standard payment terms are 7 working days from the date of the invoice unless otherwise agreed in writing.
Payment Method: The Client agrees that all payments must be made directly to the bank account of MODERN CLASSIC DIGITAL LTD, as detailed on the provided invoices. We cannot accept payments made out to 'Barn the Marketing Mechanic'.
Late Payments: We reserve the right to suspend services and/or charge statutory interest on any late payments in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4. Official Communications

To maintain efficient administration, the Client acknowledges that official communications—including but not limited to project updates, invoicing, and contract renewals—will be sent from an email address associated with MODERN CLASSIC DIGITAL LTD. These communications are officially representative of the 'Barn the Marketing Mechanic' service and hold the same contractual weight.

5. Client Obligations

To ensure the timely delivery of our services, you agree to:

Provide necessary information, access (e.g., website logins, analytics access), and materials promptly.
Ensure that any materials you provide to us (images, text, logos) do not infringe on the intellectual property rights of any third party.

6. Intellectual Property

Upon full payment of all outstanding invoices, the intellectual property rights for the final deliverables (as specified in the project scope) will transfer to the Client. We reserve the right to showcase the completed work in our portfolio or marketing materials unless a Non-Disclosure Agreement (NDA) has been signed. We retain ownership of any underlying pre-existing code, tools, or marketing frameworks used to create the deliverables.

7. Confidentiality

Both parties agree to keep confidential any proprietary information, business strategies, or sensitive data shared during the course of the working relationship.

8. Limitation of Liability

Any legal liability, claims, or disputes arising from the services provided under the trading name 'Barn the Marketing Mechanic' are the sole responsibility of the legal entity MODERN CLASSIC DIGITAL LTD.

We will not be liable for any indirect, consequential, or special losses (including loss of profits, data, or business opportunities) arising out of your use of our services.
Our total liability to you in respect of all other losses arising under or in connection with the contract shall not exceed the total fees paid by you for the specific service in question.

9. Termination

Either party may terminate this agreement with 14 days' written notice. In the event of cancellation, the Client agrees to pay for all work completed and expenses incurred up to the date of termination.

10. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of England and Wales.
